|1)The properties are selling subject to all easements, restrictions, reservations and rights of way that are apparent, or are of record. The Seller agrees to furnish a title insurance policy title commitment insuring marketability, and the Buyer shall be furnished a current title insurance commitment. The cost of the title insurance will be equally divided between the Seller and the Buyer. The cost of any title insurance lender’s endorsement, ˝ the escrow closing fee, and other customary closing costs will be paid by the Buyer. The Seller agrees to convey title to the Buyer by Warranty Deed free and clear of all liens, encumbrances, special assessments levied or assessed, and subject to all easements, reservations, conditions, limitations, and covenants of record.|
2)The Auction on each Parcel is for cash, and is not contingent on the Buyer securing financing after the Auction. Buyers should have made necessary financial arrangements prior to the Auction. The Auction is with reserve, and the Seller reserves the right to reject any, and all bids.
3)The Seller will pay the 2017, and prior years real estate taxes, and water right charges. The Buyer will be responsible to pay the 2018, and subsequent years real estate taxes and water right charges.
4)The Buyer shall agree to accept Parcel #1 subject to the existing CRP contract, and will abide by the conditions specified in said contract.
5)The Seller reserves no mineral rights. The property is selling subject to any prior unexpired mineral reservations.
6)The properties are not leased for the 2018 crop year.
7)The Buyers are purchasing the properties, and irrigation equipment in “as is” condition with no warranty by the Seller, or Helberg and Nuss Auctions & Realty.
8)The properties are selling by legal description only, and no survey will be supplied by the Seller to the Buyer.
9)Sale day earnest deposits on Parcels will be as follows:
Parcel #1: $60,000.00
Parcel #2: $30,000.00
Parcel #3: $75,000.00
The balance of the purchase price plus Buyer's closing costs are due in cash or certified funds at closing. Buyers will make earnest deposit check payable to “Helberg and Nuss Real Estate Trust”. Preliminary title search has been completed by Western Prairie Title and Escrow of Gering, Nebraska. Western Prairie Title and Escrow will also serve as the closing agent. Helberg and Nuss Auctions & Realty will transfer the respective earnest deposits to Western Prairie Title and Escrow between the day of the Auction, and the proposed closing date. Closing will be on or before March 27, 2018. With the preliminary title commitment having been completed before the Auction, it is possible for an earlier closing upon agreement of the parties.
